1. Introduction

Welcome to tr8de.ai ("Website"), a Software-as-a-Service (SaaS) platform operated and incubated by 8118 Capital LLC FZ ("Company," "we," "us," or "our"), a company incorporated under the laws of the United Arab Emirates. These Terms of Use ("Terms") govern your access to and use of our services, which include an automated trading bot ("Bot") designed to execute trades on your behalf across cryptocurrencies, forex, stocks, indices, and commodities, as well as related features such as data display and manual trade closure options (collectively, "Services"). By accessing or using the Services, you ("User," "you," or "your") agree to be bound by these Terms and our Privacy Policy, which can be viewed in our Privacy Policy. If you do not agree, please do not use the Services.

2. Use of the Services

2.1 Service Description

The Services provide an automated trading bot that executes trades on third-party exchanges or brokerage platforms ("Third-Party Platforms") based on your configurations and API key integrations. You may connect your exchange or brokerage accounts to tr8de.ai via API keys, enabling the Bot to trade and retrieve data. Additionally, a "Close Trade" feature allows manual intervention to close trades initiated by the Bot. The Services are currently in beta phase, meaning they are under active development and testing.

2.2 Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services. By using the Services, you represent that you meet these requirements and comply with all applicable laws in your jurisdiction.

2.3 User Responsibilities

  • API Keys: You are responsible for securely providing and maintaining accurate API keys for Third-Party Platforms. We do not control or access your funds directly; all trading occurs on your connected accounts.
  • Trade Outcomes: The Bot's performance depends on market conditions, your settings, and Third-Party Platform reliability. We do not guarantee the success, profitability, or accuracy of any trades executed by the Bot.
  • Compliance: You agree to use the Services in compliance with all applicable laws, including tax, anti-money laundering (AML), and counter-terrorism financing (CTF) regulations.
  • KYC/AML: We reserve the right, at our sole discretion, to require you to undergo Know Your Customer (KYC) or AML/CTF verification processes to access or continue using the Services.

2.4 Beta Status

As a beta service, the Services may contain bugs, errors, or interruptions. You acknowledge and accept these risks when using the Services.

3. Consideration

3.1 Payment Model

We charge a fee of $1 USD per profitable trade, payable in TRX (Tron cryptocurrency). No fees are charged for non-profitable trades. Fees are calculated and deducted as follows:

  • Trade Credits: You purchase Trade Credits using TRX, where 1 Trade Credit = 1 USD. Trade Credits are used to pay for profitable trades. Profitable trade is calculated based on the bots performance you selected. The bot trades on certain parameters to ensure you have the same parameters as if the bot is successful in the main account and not in your account it will still charge you, thus ensure that your account on the exchange is using the minimum trade value and leverage.
  • Deposits: You deposit TRX into your tr8de.ai wallet to acquire Trade Credits. The exchange rate is based on the TRX/USD market rate at the time of deposit.

3.2 Fee Changes

We may modify fees at our discretion. Significant increases will be communicated to you in advance, and your continued use of the Services constitutes consent to such changes.

3.3 No Refunds

All TRX deposits and Trade Credit purchases are final and non-refundable, reflecting the beta nature of the Services.

4. Third-Party Exchanges and Brokerages

The Services integrate with Third-Party Platforms via API keys. We are not responsible for:

  • The performance, security, or availability of Third-Party Platforms.
  • Any losses, damages, or issues arising from your use of Third-Party Platforms.
  • The accuracy or reliability of data provided by Third-Party Platforms.

You assume all risks associated with connecting your accounts to tr8de.ai and using Third-Party Platforms.

5. Intellectual Property

All content, software, algorithms, and materials related to the Services, including the Bot and Website (collectively, "Content"), are owned by 8118 Capital LLC FZ or its licensors and are protected by intellectual property laws. You may not:

  • Copy, modify, distribute, or reverse-engineer the Content.
  • Use the Content for any purpose other than as expressly permitted by these Terms.

You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes, subject to these Terms.

6. Beta Status and No Warranty

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. During the beta phase:

  • We do not guarantee uninterrupted, error-free, or secure operation of the Services.
  • You use the Services at your own risk, understanding that features may change or be discontinued.

7. Limitation of Liability

To the fullest extent permitted by law, 8118 Capital LLC FZ, its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

  • Your use of or inability to use the Services.
  • The performance, profitability, or outcome of trades executed by the Bot.
  • Issues with Third-Party Platforms, market volatility, or external factors beyond our control.
  • Any loss of funds, data, or opportunities.

Our total liability, if any, shall not exceed 2% the amount of fees paid by you to us in the preceding 30 days.

8. Indemnification

You agree to indemnify, defend, and hold harmless 8118 Capital LLC FZ, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your misuse of the Services.
  • Your violation of these Terms or applicable laws.
  • Any actions taken by the Bot based on your configurations or API integrations.

9. Payment and Refund Policy

  • Finality: All payments, including TRX deposits and Trade Credit purchases, are non-refundable.
  • Cancellation: You may stop using the Services at any time, but no refunds will be issued for unused Trade Credits or deposited TRX.
  • Beta Phase: This no-refund policy reflects the experimental nature of the Services during beta testing.

10. Miscellaneous

10.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles.

10.2 Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through negotiation in good faith. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of the United Arab Emirates.

10.3 No Partnership

Your use of the Services does not create a partnership, joint venture, or agency relationship between you and 8118 Capital LLC FZ.

10.4 Assignment

We may assign our rights and obligations under these Terms to a third party without your consent. You may not assign your rights or obligations without our prior written consent.

10.5 Amendments

We may update these Terms at our discretion. Changes will be posted on the Website, and your continued use of the Services constitutes acceptance of the updated Terms.
